General Terms and Conditions<\/strong><\/span><\/p>

\u00a7 1 Scope of Application<\/strong><\/p>

1.1 These General Terms and Conditions (GTC) apply to all business relationships between the engineering office (hereinafter \"Contractor\") and its clients (hereinafter \"Customer\").
1.2 Deviating conditions of the Customer shall not be recognized unless the Contractor expressly agrees to their validity in writing.<\/p>

\u00a7 2 Scope of Services<\/strong><\/p>

2.1 The Contractor offers services in the fields of planning, project management, installation, and programming.
2.2 The specific scope of services is determined in writing in the respective contract or offer.<\/p>

\u00a7 3 Conclusion of Contract<\/strong><\/p>

3.1 Offers from the Contractor are subject to change and non-binding unless they are expressly marked as binding.
3.2 A contract is concluded upon written acceptance of the offer by the Customer.<\/p>

\u00a7 4 Remuneration and Terms of Payment<\/strong><\/p>

4.1 Remuneration is based on the prices agreed upon in the offer or contract.
4.2 Travel expenses (e.g., for train, rental car, hotel) will be calculated separately and invoiced to the Customer.
4.3 All invoices are to be paid within 10 days of the invoice date without deductions, unless otherwise agreed.<\/p>

\u00a7 5 Appointments and Cancellation<\/strong><\/p>

5.1 Agreed appointments are binding.
5.2 Any cancellation or rescheduling of appointments by the Customer must be made in writing at least 72 hours prior to the appointment.
5.3 If a cancellation or rescheduling does not occur in due time, the Contractor is entitled to invoice 100% of the agreed remuneration for the planned services.
5.4 Travel expenses already incurred that can no longer be canceled will be additionally invoiced to the Customer.
5.5 Delays in the project workflow caused by non-delivery or delayed delivery of goods by the Customer or their suppliers entitle the Contractor to charge for the resulting costs and delays. This includes in particular:<\/p>

  • The costs for idle times.<\/li>
  • Additional expenses for new scheduling.<\/li>
  • Remuneration for services already rendered but not usable.<\/li><\/ul>

    \u00a7 6 Duties of Cooperation of the Customer<\/strong><\/p>

    6.1 The Customer undertakes to provide all necessary information, documents, and access in a timely manner that is required for the execution of the agreed services.
    6.2 Delays resulting from insufficient cooperation by the Customer shall not be at the expense of the Contractor.<\/p>

    \u00a7 7 Default of Payment and Late payment fees<\/strong><\/p>

    7.1 If the Customer falls into default of payment, the Contractor is entitled to charge default interest at a rate of 5 percentage points above the base interest rate pursuant to Section 288(1) BGB (German Civil Code). If the Customer is an entrepreneur, the default interest rate shall be 9 percentage points above the base interest rate pursuant to Section 288(2) BGB.
    7.2 For each reminder after the occurrence of default, the Contractor may charge a flat reminder fee in the amount of \u20ac10.00, unless the Customer proves that lesser damage has occurred.
    7.3 The Contractor reserves the right to assert further claims for default or damages.
    7.4 In the event of default of payment, the Contractor may suspend further performance of services until the outstanding claims are settled.<\/p>

    \u00a7 8 Liability<\/strong><\/p>

    8.1 The Contractor shall be liable for intent and gross negligence. For slight negligence, the Contractor shall only be liable in the event of a breach of material contractual obligations (cardinal obligations).
    8.2 The liability of the Contractor is limited to the foreseeable, typically occurring damage.
    8.3 Liability for consequential damages, lost profits, or loss of data is excluded to the extent permitted by law.<\/p>

    \u00a7 9 Warranty<\/strong><\/p>

    9.1 The Contractor warrants the proper execution of the agreed services.
    9.2 Obvious defects must be reported to the Contractor in writing immediately, but no later than within 7 days after the performance of services.<\/p>

    \u00a7 10 Confidentiality<\/strong><\/p>

    10.1 Both parties undertake to keep confidential all secret information disclosed within the scope of the cooperation and to use it only for the agreed purposes.<\/p>

    \u00a7 11 Final Provisions<\/strong><\/p>

    11.1 The law of the Federal Republic of Germany shall apply.
    11.2 The place of jurisdiction for all disputes arising from the contractual relationship shall be the registered office of the Contractor, provided that the Customer is a merchant, a legal entity under public law, or a special fund under public law.
    11.3 Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.<\/p>
